# Connectivv Compass ## Confidentiality and Platform Access Agreement **Effective Date:** 29/07/26 **Version:** 1.0 ### 1\. Introduction Welcome to Connectivv Compass ("the Platform"), a private online collaboration environment owned and operated by Connectivv Communications ("Connectivv", "we", "our", or "us"). Access to the Platform is by invitation only and is granted solely to authorised employees, contractors, advisors, investors, partners, customers, collaborators and other approved participants. By creating an account, accessing or using the Platform, you acknowledge that you have read, understood and agree to be bound by this Confidentiality and Platform Access Agreement ("Agreement"). If you do not agree to these terms, you must not access or use the Platform. --- # 2\. Purpose The Platform exists to enable secure collaboration, communication, knowledge sharing and project management relating to Connectivv Communications and its products, services, technologies and commercial activities. --- # 3\. Confidential Information You acknowledge that during your use of the Platform you may have access to confidential, proprietary and commercially sensitive information. Confidential Information includes, but is not limited to: - technical documentation - engineering designs - product specifications - software and source code - research and development - business strategies - customer information - supplier information - financial information - pricing - project documentation - intellectual property - unpublished products - photographs - videos - discussions - diagrams - presentations - downloadable documents - training material - concepts, prototypes and future product plans. Unless expressly identified as public information, all content available through the Platform shall be considered Confidential Information. --- # 4\. Confidentiality Obligations You agree that you will: - keep all Confidential Information strictly confidential; - use Confidential Information only for authorised purposes connected with your relationship with Connectivv; - exercise reasonable care to protect Confidential Information from unauthorised disclosure; - immediately notify Connectivv if you become aware of any actual or suspected unauthorised access or disclosure. --- # 5\. Restrictions Without prior written approval from Connectivv, you must not: - disclose Confidential Information to any third party; - copy, reproduce or redistribute documents; - publish or post Platform content online; - share screenshots or screen recordings; - record meetings or presentations; - reverse engineer any software or hardware; - attempt to gain unauthorised access to restricted areas; - share your login credentials; - permit another person to use your account; - remove copyright or ownership notices; - use Platform information for the benefit of another organisation or business. --- # 6\. Intellectual Property All intellectual property rights in the Platform and its contents remain the property of Connectivv Communications or the relevant owner. This includes, without limitation: - trademarks - logos - branding - documentation - software - hardware designs - concepts - inventions - databases - workflows - product names - engineering drawings - images - videos - documentation - trade secrets. Access to the Platform does not grant ownership, licence or other rights to any intellectual property except as expressly permitted by Connectivv. --- # 7\. User Contributions You retain ownership of material you create and upload unless otherwise agreed in writing. By uploading material, you grant Connectivv a non-exclusive, royalty-free licence to host, store, display and use that material solely for the operation and administration of the Platform and the relevant project or collaboration. You warrant that you have the authority to upload any material you submit. --- # 8\. Appropriate Use Users agree to: - communicate respectfully; - contribute honestly and professionally; - maintain accurate account information; - protect confidential information; - report security concerns promptly. Users must not upload unlawful, offensive, defamatory, malicious or infringing content. --- # 9\. Security You agree to: - maintain a secure password; - enable multi-factor authentication where available; - immediately report suspected compromise of your account; - log out from shared devices. Connectivv may monitor Platform activity for security, auditing and compliance purposes. --- # 10\. Monitoring To protect users and confidential information, Connectivv reserves the right to monitor Platform usage, audit access logs, investigate suspected breaches and remove content that may compromise security or breach this Agreement. --- # 11\. Suspension or Termination Connectivv may suspend or terminate access immediately where it reasonably believes a user has: - breached this Agreement; - compromised security; - misused confidential information; - engaged in unlawful conduct; - acted contrary to the interests of Connectivv or other authorised users. Termination of access does not end your confidentiality obligations. --- # 12\. Return or Deletion of Information Upon request or termination of access, you agree to return or securely destroy Confidential Information obtained through the Platform unless retention is required by law. --- # 13\. No Licence Granted Nothing in this Agreement grants any licence to manufacture, develop, commercialise or reproduce any Connectivv technology or intellectual property. --- # 14\. Disclaimer Information provided through the Platform may include concepts, draft specifications, preliminary designs and proposed future developments. Such information may change without notice and should not be relied upon as final unless confirmed in writing by Connectivv. --- # 15\. Limitation of Liability To the maximum extent permitted by New Zealand law, Connectivv shall not be liable for any indirect, incidental, consequential or economic loss arising from access to or use of the Platform. --- # 16\. Governing Law This Agreement is governed by the laws of New Zealand. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of New Zealand. --- # 17\. Changes to this Agreement Connectivv may amend this Agreement from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Agreement. --- # 18\. Acceptance By selecting the "I Agree" option during registration or by accessing the Platform, you confirm that: - you have read this Agreement; - you understand your confidentiality obligations; - you agree to comply with this Agreement; - you understand that access is conditional upon ongoing compliance; - you acknowledge that breaches may result in immediate removal from the Platform and may give rise to legal action where appropriate. --- © Connectivv Communications.
